On Tuesday, July 21, 2020, Gladstone Investment Corporation (the “Company”) mailed a letter to certain of its stockholders of record as of June 8, 2020 (“Record Date Stockholders”) in connection with its 2020 Annual Meeting, urging Record Date Stockholders to cast their votes on the proposals described in the Company’s Definitive Proxy Statement on Schedule 14A (the “Proxy Statement”), which was filed with the Securities and Exchange Commission on June 15, 2020.

We are writing to remind you that the 2020 Annual Meeting of Stockholders of Gladstone Investment Corporation (the “Company”) is scheduled for Thursday, August 6, 2020 at 11:00 a.m. Eastern Daylight Time (“Eastern Time”). The 2020 Annual Meeting of Stockholders will be a completely “virtual meeting.” You will be able to attend the meeting as well as vote and submit your questions during the live webcast of the meeting by visiting www.virtualshareholdermeeting.com/GAIN2020 and entering the company number and control number included on your proxy card or in the instructions that accompanied your proxy materials.

Our records indicate that as of June 8, 2020, the “Record Date” for the annual meeting, you held shares of the Company and, therefore, you are entitled to vote on the matters as described in the Company’s Definitive Proxy Statement (the “Proxy Statement”) and set forth on the proxy card attached thereto, which were filed with the Securities and Exchange Commission (“SEC”) on June 15, 2020 and mailed to you on June 16, 2020. Our records indicate that we have not yet received your vote.
